The Governance Tightrope: Balancing Rights and Responsibilities will address key governance issues that boards and corporate officers must address in the execution of their duties. In any industry, directors and officers are subject to intense scrutiny and pressure from both investors and regulators. In the cannabis industry, these issues may be magnified by the existing regulatory environment in any given state, the continued federal prohibition, high expectations of investors for return on capital, and the historical practices of clients.
This session will examine the standards placed on boards and officers in the most common medical and adult-use states, and how attorneys can advise their clients to create policies and practices that will embed corporate governance best-practices at the onset to create long-term value for clients through the growth and exit stages of a company. Specifically, the panel will address director independence, fiduciary duties, the role of ownership in corporate governance, and the spectrum of laws that dictate board and officer action.
